Welcome to Mistral AI! Mistral AI is a French limited joint-stock corporation, incorporated in Paris, under number 952 418 325, having its registered offices at 15 rue des Halles, 75001 Paris, France ("Mistral AI" or "us").

The products provided by Mistral AI (the “Mistral AI Products”) support connections to third-party services (“Third-Party Services”) through third-party Model Context Protocols servers (“Connectors”). These Connectors allow users of Mistral AI Products (“Users”) to interact with Third-Party Services within the Mistral AI Products. Mistral AI provides a list of compatible Connectors on its platform (the “Directory”).

These terms (the “Terms”) govern the submission to the Directory and use of your Connectors (unless we have a separate specific agreement in place with you covering the creation and use of your Connector). By clicking on “I agree” (or any similar button or checkbox) at the time you sign-up to submit your Connector or by submitting your Connector to our Directory, you are agreeing to these Terms, which constitute an agreement between you and Mistral AI.

1. The Connectors

License. You grant Mistral AI a royalty-free, non-exclusive, non-transferable, worldwide license to use your Connector, for the purposes of: (a) including your Connector in the Directory and (b) allowing our Users to use the Connector within the Mistral AI Products for the duration of your Connector’s inclusion in the Directory. You acknowledge and agree that (i) you are solely responsible for the Connector you submit and (ii) we may, at our own discretion and at any time, remove your Connector from the Directory.

Response. You are solely responsible for the execution of the User’s request (the “Response”). You grant us a worldwide, non-exclusive, royalty-free, fully-paid license to use the Response for the purpose of providing it to the Users within the Mistral AI Products until the later of (a) the termination of these Terms or (b) the deletion of the User’s chat history.

2. Intellectual Property

Your intellectual property. You own all right, title, and interest in and to your Connector. We will not: (i) use your Connector to modify or create derivative works of your Connector; (ii) transfer rights, including intellectual property rights, to your Connector to any third party; or (iii) intentionally disrupt your Connector or any of its security measures.

Our intellectual property. We own all right, title, and interest in and to the Mistral AI Products.

3. Warranties ; Disclaimer

Your warranties. You represent and warrant that (a) you will comply with all applicable laws and regulations, including applicable privacy and export control laws and regulations, in connection with your Connector and these Terms, (b) you have all necessary rights, authority, licenses, and permissions to (i) grant us the rights in Sections 1 and 6 of these Terms and (ii) have the MCP Connection submitted for inclusion and/or successfully included in the Directory.

Disclaimer. EXCEPT FOR THE WARRANTIES IN THIS SECTION 3 (WARRANTIES; DISCLAIMER) AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE MISTRAL AI PRODUCTS (INCLUDING THE CONNECTORS FEATURE) ARE PROVIDED “AS IS” AND WE AND OUR AFFILIATES AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND TITLE, NONINFRINGEMENT, OR QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR TRADE USAGE. WE MAKE NO REPRESENTATIONS OR WARRANTIES (I) THAT USE OF THE MISTRAL AI PRODUCTS (INCLUDING THE CONNECTORS FEATURE) WILL BE UNINTERRUPTED, ERROR FREE, SECURE, OR BE SUITABLE FOR YOUR SPECIFIC PURPOSES OR USE-CASES, OR (II) THAT DEFECTS WILL BE CORRECTED.

4. Indemnification; Limitations of Liability

Indemnification. You will indemnify, defend, and hold us and our affiliates, service providers, and licensors harmless against any liabilities, damages, and costs (including reasonable attorneys’ fees) payable to a third party arising out of a User’s claim or a third party claim to the extent arising from your Connector.

Limitations of Liability. NEITHER WE NOR ANY OF OUR AFFILIATES, EMPLOYEES, SHAREHOLDERS, LICENSORS, AGENTS, SUPPLIERS, OR SERVICE PROVIDERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA OR OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED 100 EUROS. THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

5. Trademarks

Your trademarks. You grant Mistral AI a royalty-free, non-exclusive, non-transferable, non sub-licensable, worldwide license to use your name, logo, and other trademarks (including your Connector’s name and logo) for the purposes of: (a) including your Connector in the Directory; and (b) including your name and your Connector’s name and logo in Mistral AI’s marketing and promotional materials exclusively in connection with the Directory, in both cases for the duration of your Connector’s inclusion in the Directory.

Mistral AI trademarks. We grant you a royalty-free, non-exclusive, non-transferable, non-sublicensable, worldwide license to use our name, logo, and other trademarks (“Mistral AI trademarks”) solely to promote your Connector. You may not suggest or imply that Mistral AI created, endorses, or supports your Connector without our prior written consent. Similarly, and except as provided in this agreement, you may not use Mistral AI’s trademarks without obtaining our explicit written permission.

6. Term and termination

Term. These Terms will commence on the earlier of (a) the date you first submit the Connector or (b) the date you accept these Terms, and will continue until terminated.

Termination and Suspension. We reserve the right to suspend or terminate these Terms if: (a) you breach these Terms, (b), we need to do so in order to comply with applicable law, or (c) your continued use of the Directory could cause risk or harm to Mistral AI, our users, or anyone else. If you believe we have suspended or terminated your use of the Directory in error, you can file an appeal with us by contacting us via support@mistral.ai.

Requests to terminate. You can request to have your Connector removed from the Directory at any time by contacting us via support@mistral.ai

Effects of termination. Upon termination or expiration of these Terms, your Connector will be removed from the Directory and the provisions of these Terms (or any applicable Additional Terms) that are intended by their nature to survive termination will survive and continue in full force and effect in accordance with their terms, including limitations of liability, and disclaimers.

Survival. Sections 2, 3, 4, 6, and 7 of these Terms will survive termination or expiration of these Terms.

7. General Terms

Updates to these Terms. We may update these Terms from time to time. We will give you at least 30 days advance notice of changes to these Terms that materially adversely impact you either via email or an in-product notification. All other changes will be effective as soon as we post them. If you do not agree to the changes, you must request to have your Connector removed from the Directory by contacting us via support@mistral.a.

Independent Contractors. There is no relationship of partnership, joint venture, employment, franchise or agency created between the parties under these Terms. Neither party will have the power to bind the other or incur obligations on the other party’s behalf without the other party’s prior written consent.

No Third-Party Rights. There are no third-party beneficiaries to these Terms.

Waivers. No waiver of any term of these Terms will be deemed a further or continuing waiver of such term or of any other term, and our failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.

Entire Agreement; severability. Unless otherwise agreed in writing between you and Mistral AI, these Terms constitute the entire agreement between you and us concerning the Connector. Any statements or comments made between you and any of our employees or representatives are expressly excluded from these Terms and will not apply to you or us. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision will not affect the validity of the remaining provisions of these Terms, which will remain in full force and effect.

Governing law and venue.

(a) Unless you are located in the United States, the laws of France will govern all disputes arising out of or relating to these Terms (including any applicable Additional Terms) or the Connector, regardless of conflict of laws rules. These disputes will be resolved exclusively in the courts located in Paris, France, and you and Mistral AI consent to personal jurisdiction in those courts.

(b) If you are located in the United States, California law will govern all disputes arising out of or relating to these Terms (including any applicable Additional Terms), or the Connector, regardless of conflict of laws rules. These disputes will be resolved exclusively in the federal or state courts of Santa Clara County, California, USA, and you and Mistral AI consent to personal jurisdiction in those courts.
